Boatwork Assist — Subscription Terms Addendum

This Addendum supplements and is incorporated into the Boatwork Terms of Use. In the event of a conflict between this Addendum and the main Terms of Use, this Addendum controls with respect to Boatwork Assist subscribers.
1. Boatwork Assist Service
Boatwork Assist is a managed AI agent platform operated by Yacht Supply, LLC d/b/a Boatwork (“Company”). It enables marine service professionals (“Subscribers”) to deploy AI-powered agents for lead response, customer communication, estimation support, scheduling, and related business functions. The platform is accessible at ai.boatwork.co.
2. Subscription and Payment
2.1 Fees. Access to Boatwork Assist requires a paid subscription. Current pricing is displayed at the time of purchase and within your account dashboard. Subscriptions are billed monthly or annually as selected at signup.
2.2 AI Processing Credits. Your subscription includes a monthly AI processing credit allowance. Usage exceeding your included credit will be billed at the overage rates disclosed at the time of subscription. You may set usage caps within the platform to prevent unexpected charges.
2.3 Billing. All fees are charged to the payment method on file via Stripe. You authorize Company to charge your payment method on each billing cycle. Failure to pay may result in suspension or termination of your account.
2.4 Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
2.5 Non-refundable Charges. All charges — including prepaid AI Credits, platform fees, and agent fees — are non-refundable. Revenue is recognized at the moment of payment capture. No partial-period refunds for mid-period cancellation. Goodwill refunds may be granted at Company’s sole discretion and are not a term of this agreement.
2.6 AI Credit Expiration. Prepaid AI Credits expire twelve (12) months from the date of purchase. Unused Credits at expiration are forfeited and not refundable. Credits are spent oldest-first; you may track remaining balances and upcoming expirations on the billing dashboard.
2.7 Price Changes. Company may change subscription fees with 30 days’ written notice. Continued use after the effective date constitutes acceptance of the updated pricing.
3. AI Agent Configuration and Use
3.1 Subscriber Responsibility. You are solely responsible for all persona configurations, playbooks, instructions, and content you deploy through your AI agent(s). You represent that your agent configurations comply with all applicable laws and do not infringe any third-party rights.
3.2 AI-Generated Content. AI-generated responses may contain errors, inaccuracies, or omissions. Company does not guarantee the accuracy or fitness for purpose of any AI-generated content. AI responses do not constitute legal, financial, medical, or other licensed professional advice. You are solely responsible for the consequences of communications sent through your agent.
3.3 Prohibited Agent Use. You may not configure or use your agent to:
- Transmit spam or unsolicited messages in violation of applicable law
- Impersonate any person, business, or licensed professional without authorization
- Collect personal information from third parties without appropriate legal basis
- Engage in deceptive, fraudulent, or misleading communications
- Violate the terms of any third-party model provider or integration partner
4. Third-Party Model Providers
Boatwork Assist routes agent requests through third-party AI model providers, which may include Anthropic (Claude), OpenAI (GPT), xAI (Grok), Mistral, and others depending on your configuration. Message content is transmitted to these providers solely to generate responses. Each provider maintains their own data handling practices. Company selects providers that do not use customer data for model training by default. Company makes no guarantees regarding the independent data practices of third-party model providers.
5. Third-Party Integrations
The platform supports connections to third-party services including email providers, Telegram, and others. By connecting a third-party account, you authorize Company to access and process data from that account as necessary to operate your agent. Your use of third-party integrations is also governed by the respective provider’s terms. Company is not responsible for the availability or conduct of third-party services.
6. End-User Data
Your AI agent may collect and process personal information belonging to your customers, leads, and contacts (“End-User Data”). You are the data controller for all End-User Data. You are responsible for ensuring you have appropriate authority to process this information through the platform and for providing any required notices or disclosures to your customers. Company processes End-User Data solely as directed by you and as necessary to operate the platform.
7. Service Level and Uptime
Company targets 99.9% monthly platform uptime, excluding scheduled maintenance and events outside Company’s reasonable control. In the event of downtime exceeding this target, Company will issue account credits as described in your account dashboard. Company is not responsible for downtime caused by third-party AI model providers, integration partners, or force majeure events.
8. Intellectual Property
Company retains all rights in the Boatwork Assist platform, including software, AI personas, templates, and related materials. You retain ownership of your business information, playbooks, and configurations. You grant Company a limited license to use your content solely as necessary to operate the platform and provide services to you.
9. SMS Messaging Terms
Program Description. Boatwork Assist uses SMS messaging to deliver AI agent communications on behalf of Subscribers to their customers and leads. Message types include lead response notifications, quote follow-ups, appointment reminders, job status updates, and customer service communications related to marine services.
Message Frequency. Message frequency varies based on your agent configuration and customer interaction volume.
Opt-Out. Recipients may cancel SMS messages at any time by replying STOP to any message. Upon receipt of STOP, we will send a confirmation that the recipient has been unsubscribed and no further messages will be sent unless the recipient opts back in.

Rates. Message and data rates may apply for messages sent to and from recipients. Recipients should contact their wireless provider for details about their messaging plan.
Carrier Disclaimer. Carriers are not liable for delayed or undelivered messages.
Subscriber Responsibility. As a Subscriber, you are responsible for ensuring that all recipients of SMS messages sent through your agent have provided appropriate consent to receive such messages in compliance with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and all applicable carrier requirements. Company is not liable for your failure to obtain proper consent.
